These Terms of Use govern your access to and use of graze.day and any related products, features, content, and services provided by Graze.day.

By accessing or using the site, you agree to these Terms. If you do not agree, do not use the site.

Use of the site

Graze.day is a directory and discovery platform for farmers markets, vendors, organizers, shoppers, and related local food and market businesses. The site may include listings, profiles, search tools, saved lists, recommendations, claim flows, market and vendor submissions, images, schedules, rosters, map previews, notifications, paid vendor features, and related content.

We may update, change, suspend, or remove parts of the site at any time without liability.

Eligibility

You must be at least 13 years old to use the site. If you are under the age of majority where you live, you may use the site only with permission from a parent or legal guardian.

You must be at least 18 years old and legally able to enter into a binding agreement to use business, vendor, organizer, claim, payment, or subscription features.

If you use the site on behalf of a business or organization, you represent that you have authority to bind that entity to these Terms.

Accounts and submitted information

Some features may require an account or the submission of contact or business information. You agree to provide accurate, current, and complete information and to keep it updated.

You are responsible for activity associated with your account or access method and for maintaining the confidentiality of your login credentials, email codes, access links, and authenticated sessions.

We may use third-party authentication providers, including Supabase, Google, and Apple. Your use of those providers may also be subject to their own terms and policies.

Listings and directory information

The site may display information about vendors, organizers, markets, and related businesses, including names, descriptions, schedules, rosters, websites, locations, social links, contact details, payment method tags, products, amenities, and images.

Some information may be provided by users, businesses, organizers, third parties, or collected and compiled by us. We do not promise that listings or profiles will always be accurate, complete, current, or available.

A listing or profile appearing on the site does not mean Graze.day endorses, verifies, guarantees, or recommends that person, business, event, or listing.

Market dates, times, vendor attendance, locations, directions, payment options, product availability, and amenities can change. You are responsible for confirming important details directly with the market, vendor, organizer, or other source before traveling, purchasing, applying, or relying on a listing.

User content and uploads

If you upload, post, submit, claim, manage, or otherwise provide any text, photos, logos, images, graphics, schedules, descriptions, or other materials through the site, you represent and warrant that you own that content or have all rights, permissions, and licenses needed to provide it and allow us to use it as described in these Terms.

You also represent that your content does not violate any law or infringe the rights of any third party, including copyright, trademark, privacy, publicity, or contractual rights.

You agree not to submit confidential, private, sensitive, or regulated information that should not be displayed or processed by a public listing platform.

License to use submitted content

You retain ownership of the content you submit. However, by submitting content through the site, you grant Graze.day a worldwide, non-exclusive, royalty-free, transferable, sublicensable license to host, store, reproduce, display, distribute, publish, adapt, format, modify, and otherwise use that content in connection with operating, improving, and promoting the site.

This includes the right to use submitted content on listing pages, search results, email communications, social media posts, promotional materials, paid ads, and other marketing channels.

This license continues for as long as needed to operate the site, maintain archives and backups, preserve prior promotions, and comply with legal or operational obligations, even if content is later removed from public display.

Public listings

Vendor, organizer, and market information may be publicly visible on the site and may also appear in search engines or promotional materials. Do not submit information you do not want made public.

Requests to remove or correct a listing may be reviewed for authority, accuracy, fraud prevention, and platform integrity. We may decline, delay, or limit a request where we cannot verify it or where retention is needed for legitimate operational or legal reasons.

Claims, organizer tools, and moderation

Vendor claims, market claims, organizer access, roster tools, applications, corrections, and submissions may be reviewed before approval. Approval is not guaranteed.

We may reject, edit, remove, limit, suspend, or reclassify listings, submissions, claims, applications, account access, or public content if we believe it is inaccurate, unauthorized, unsafe, misleading, duplicative, outdated, unlawful, or otherwise inconsistent with these Terms or the purpose of the site.

We may preserve moderation history, claim records, correction reports, and related operational records for trust, safety, accuracy, and administration.

Vendor Plus and paid features

Graze.day may offer paid vendor features, including Vendor Plus. Paid features, prices, billing periods, and included benefits are shown at checkout or in the applicable product surface and may change over time.

Payments and subscription management are processed through Stripe. By starting checkout, paying, or managing a subscription, you also agree to Stripe's applicable terms and authorize Stripe and Graze.day to process the transaction, subscription status, and related billing records.

Subscriptions renew until canceled unless the checkout or billing terms state otherwise. You are responsible for canceling through the billing portal or another supported method before renewal. Unless required by law or expressly stated by us, fees are non-refundable.

Paid placement, enhanced display, or other paid benefits do not guarantee traffic, sales, leads, approvals, market participation, ranking, or any specific business outcome.

Prohibited conduct

You agree not to:

• submit false, misleading, infringing, or unlawful content;
• impersonate another person, market, vendor, or business;
• claim, manage, or modify a listing without authority;
• scrape, crawl, harvest, or extract site data by automated means without permission;
• interfere with the operation or security of the site;
• upload malicious code, spam, or harmful materials;
• attempt to bypass payment, subscription, moderation, rate-limit, or access controls;
• use the site in violation of law or third-party rights; or
• suggest sponsorship, endorsement, or affiliation where none exists.

Intellectual property

The site, including its design, layout, software, branding, compiled content, and other materials, is owned by Graze.day, its licensors, or applicable rights holders and is protected by intellectual property laws.

Except for the limited right to use the site in accordance with these Terms, no rights are granted to you.

Third-party services and links

The site may contain links to third-party websites, social media pages, maps, vendor sites, organizer sites, ticketing pages, or other services not controlled by us.

The site may also rely on third-party services for hosting, authentication, analytics, email delivery, payment processing, maps, geocoding, postal-code lookup, image storage, and related infrastructure. We are not responsible for third-party content, availability, policies, products, services, or practices.

Disclaimers

The site is provided on an as is and as available basis. To the fullest extent permitted by law, Graze.day disclaims all warranties, express or implied, including warranties of accuracy, availability, merchantability, fitness for a particular purpose, and non-infringement.

We do not guarantee that the site will be uninterrupted, secure, error free, or that any listing, profile, schedule, result, or content will be accurate or reliable.

Limitation of liability

To the fullest extent permitted by law, Graze.day and its affiliates, officers, employees, contractors, licensors, and service providers will not be liable for any indirect, incidental, special, consequential, exemplary, or punitive damages, or for any loss of profits, revenue, data, goodwill, or business opportunity arising out of or related to your use of or inability to use the site.

To the fullest extent permitted by law, the total liability of Graze.day for any claim relating to the site or these Terms will not exceed the greater of one hundred U.S. dollars or the amount you paid us, if any, during the twelve months before the event giving rise to the claim.

Indemnification

You agree to defend, indemnify, and hold harmless Graze.day and its affiliates, officers, employees, contractors, licensors, and agents from and against claims, damages, liabilities, losses, costs, and expenses, including reasonable attorneys’ fees, arising out of or related to your content, listing information, claims, submissions, subscription activity, your use of the site, your violation of these Terms, or your violation of any law or third-party right.

Termination

We may suspend, restrict, or terminate access to the site at any time, with or without notice, for any reason, including if we believe you violated these Terms or created risk for the platform or others.

Changes to these terms

We may update these Terms from time to time. When we do, we will post the revised version here and update the effective date. Continued use of the site after changes are posted means you accept the updated Terms.

Governing law

These Terms are governed by applicable United States law and other applicable law, without regard to conflict of law principles, except to the extent superseded by applicable federal law.
